<h1>1. Definitions</h1><p>1. 1.1 "Client" refers to the individual or organisation purchasing services from LOTC.</p><p>2. 1.2 "Delegate" means the individual attending the course.</p><p>3. 1.3 "Course" encompasses any training program offered by LOTC, including open, bespoke, and online courses.</p><p>4. 1.4 "Services" include all training, consultancy, and related services provided by LOTC.</p><p>5. 1.5 "Agreement" refers to the contract between LOTC and the Client, incorporating these Terms and Conditions.</p><h1>2. Booking and Confirmation</h1><p>6. 2.1 All course bookings are subject to availability and are not confirmed until written acknowledgement is provided by LOTC.</p><p>7. 2.2 Upon receipt of a booking request, LOTC will issue a confirmation detailing the course specifics, fees, and payment instructions.</p><p>8. 2.3 By confirming a booking, the Client agrees to these Terms and Conditions.</p><h1>3. Fees and Payment</h1><p>9. 3.1 Course fees are as stated in the course brochure or on the LOTC website and are exclusive of VAT unless otherwise specified.</p><p>10. 3.2 Full payment must be received by LOTC no later than 14 days prior to the course start date.</p><p>11. 3.3 In cases where a booking is made within 14 days of the course start date, immediate payment is required upon receipt of the invoice.</p><p>12. 3.4 LOTC reserves the right to refuse entry to any Delegate if payment has not been received in full.</p><p>13. 3.5 The Client is responsible for all bank charges and any other costs incurred in making the payment.</p><h1>4. Cancellations and Transfers</h1><p>14. 4.1 All cancellation requests must be submitted in writing.</p><p>15. 4.2 Cancellations received more than 14 days before the course start date will incur a 25% administrative fee.</p><p>16. 4.3 Cancellations received 14 days or fewer before the course start date will be subject to the full course fee.</p><p>17. 4.4 Delegates may transfer their booking to another individual from the same organisation at no additional cost, provided LOTC is notified at least 3 days before the course start date.</p><p>18. 4.5 Requests to transfer to a different course date must be made in writing and are subject to availability and LOTC's discretion.</p><h1>5. Course Amendments and Cancellations by LOTC</h1><p>19. 5.1 LOTC reserves the right to cancel or reschedule courses due to insufficient enrollment, trainer unavailability, or other unforeseen circumstances.</p><p>20. 5.2 In the event of a course cancellation by LOTC, Clients will be offered a full refund or the option to transfer to an alternative course.</p><p>21. 5.3 LOTC is not liable for any expenses incurred by the Client due to course cancellations or rescheduling.</p><p>22. 5.4 Course fees, dates, content, and assigned trainers are subject to change. In such cases, LOTC’s liability is strictly limited to the reimbursement of any paid course fees.</p><h1>6. Course Content and Materials</h1><p>23. 6.1 LOTC endeavors to provide courses as advertised but reserves the right to make changes to course content, trainers, and materials as necessary.</p><p>24. 6.2 All course materials provided are for the Delegate's personal use and must not be reproduced or distributed without LOTC's prior written consent.</p><h1>7. Delegate Conduct</h1><p>25. 7.1 Delegates are expected to conduct themselves professionally and respectfully during courses.</p><p>26. 7.2 LOTC reserves the right to remove any Delegate whose behavior is deemed inappropriate, disruptive, or offensive. In such cases, no refund will be provided.</p><h1>8. Intellectual Property</h1><p>27. 8.1 All intellectual property rights in course materials and content remain the property of LOTC or its licensors.</p><p>28. 8.2 Delegates may not reproduce, distribute, or exploit any course materials without LOTC's prior written permission.</p><h1>9. Confidentiality</h1><p>29. 9.1 Both LOTC and the Client agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course.</p><p>30. 9.2 This obligation of confidentiality extends beyond the termination of this Agreement.</p><h1>10. Data Protection</h1><p>31. 10.1 LOTC processes personal data in accordance with the Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR).</p><p>32. 10.2 Personal data collected will be used solely for the purpose of delivering services and will not be shared with third parties without the Client's consent, except as required by law.</p><h1>11. Liability</h1><p>33. 11.1 LOTC’s liability for any loss or damage suffered by the Client is limited to the amount paid for the course.</p><p>34. 11.2 LOTC is not liable for any indirect, consequential, or incidental damages arising from the delivery or use of its services.</p><h1>12. Complaints</h1><p>35. 12.1 Any complaints should be submitted in writing within 14 days of the course completion date.</p><p>36. 12.2 LOTC will acknowledge receipt of the complaint within 7 days and aim to resolve the issue within 14 days.</p><h1>13. Governing Law and Jurisdiction</h1><p>37. 13.1 These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.</p><p>38. 13.2 Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.</p><p><br></p>
